BOCA RATON, Fla., May 19, 2005 (BUSINESS WIRE) -- DirectView, Inc. (DRVW, Trade), the leader in full-service, high-quality, cost efficient videoconferencing technologies and services, has announced their results of the first quarter of 2005. The net sales for three months ended March 31, 2005 were $227,709 as compared to net sales of $144,402 for three months ended March 31, 2004, an increase of approximately 58%. The company has also received a recent cash infusion of $450,000.00 to be used for new marketing strategies and staffing as well as operating capital.

Jeff Robbins, President of DirectView, said: "We are very excited to announce our results of our first quarter this year. We are currently beginning to utilize our new financing toward implementation of new programs to market our products and services across the nation. We are looking forward to a stellar year."

DILUTION

At March 31, 2005 we had 278,660,090 shares of common stock issued and outstanding. The net tangible book value of DirectView at March 31, 2005 was $(1,098,720) or $(0.00394 per share of common stock. Giving effect to the issuance of an additional 9,900,000 shares of our common stock from the period of April 1, 2005 through April 30, 2005 and the receipt of proceeds of $0 related to such issuances, our proforma net tangible book value at March 31, 2005 was $(1,098,720) or $(0.0038) per share of common stock. Net tangible book value per share is determined by dividing the tangible book value of DirectView (total tangible assets less total liabilities) by the number of outstanding shares of our common stock. For the shares being offered by the selling security holders none of the proceeds will be paid to DirectView therefore our net tangible book value will be unaffected by this offering. Our net tangible book value, however, will be impacted by the actual number of shares of our common stock which we issue in exchange for $10,000,000 under the Standby Equity Distribution Agreement. The offering price of the shares issued in the Standby Equity Distribution Agreement is not fixed until prior to the sale. The following example shows the dilution to new investors at an offering price of $0.015714 per share which represents the price at which we would sell $10,000,000 of shares of our common stock to Cornell Capital Partners, L.P. for the pricing period ended April 29, 2005.

If we assume that we had issued 636,375,207 shares for $10,000,000 under the Standby Equity Distribution Agreement at an assumed offering price of $0.015714 per share (i.e., the maximum number of shares needed to fully use the $10,000,000 Standby Equity Distribution Agreement based upon a pricing period ending April 29, 1005), our pro forma net tangible book value as of March 31, 2005 would have been $8,901,280 or $0.00962 per share. This represents an immediate increase in net tangible book value to existing stockholders of $0.00583 per share and an immediate dilution to new stockholders of $0.0061 per share. The following table illustrates the per share dilution:

CEO responsibilities will be handled on an interim basis by DirectView's President, Jeffrey Robbins, until such time as a successor is named. The Company foresees no ill affects to its business during the transition.

Termination of Material Agreement, Change in Directors or Principal Officers, Fina

Item 1.02 Termination of a Material Definitive Agreement.

On June 24, 2005, Directview, Inc. and Michael Perry entered into a Separation Agreement terminating the Employment Agreement between the parties dated February 23, 2004. In accordance with the Separation Agreement:

o Directview has agreed to pay Mr. Perry compensation due under the employment agreement through the date of separation in the amount of $2,423.08, as well as $970.50 covering reimbursement of expenses incurred in connection with his services rendered;

o Mr. Perry has relinquished his entitlement to 500,000 shares of Directview common stock earned by him under his Employment Agreement;

o Mr. Perry has agreed to return to Directview all equipment and other property of Directview in the possession or under the control of Mr. Perry; and

o Mr. Perry has agreed not to solicit any person who was a customer, prospective customer or employees of Directview during the preceding two years.

Item 5.02 Departure of Directors or Principal Officers; Election of
Directors; Appointment of Principal Officers.

In connection with the Separation Agreement described in Item 1.02 of this Current Report on Form 8-K, Michael Perry's services as the Chief Executive Officer of Directview, and as an officer and director of each of its subsidiaries and affiliates, have terminated effective June 24, 2005.

وكسر حاجز ال0.01 سنت ومن ثم الأنطلاق بشكل صاروخي

الى 0.02 سنت فما فوق مصحوب بخبر ايجابي وفوليوم قوي

او

النزول مرة أخرى الى منطقة الدعم 0.008

وكسرها والنزول الى مصاف النصف سنت

سعرها الان 0.0105

السالفة واضحة زي الشمس السهم مهمل من قبل المسئولين في الشركة من أجل تعمد أنزالة

وتطفيش ملاك السهم بالبيع وتجميع السهم بهدوء

ومن ثم الصعود بشكل صاروخي

مثلما حصل في SMTR

حينما أنزلوها الى 0.025

ومن ثم الطيران حتى 0.26

يعني قفز في ظرف شهر فقط 930%

لذلك نصيحتى تركها وكأنها ماهي عندك

حتى لو طالت المدة

مع أني أتوقع أقلاعها سوف يكون خلال هذين الأسبوعين

وانشاللة تكون بداية للانطلاق للاعلى
لان فية خبر راح ينزل عليها بعد فترة بسيطة
وانشاللة يكون سبب في رفع الفوليوم عليها وعودة ثقة المستثمرين في الشركة
