USURF America Signs Definitive Agreement to Acquire Competitive Local Exchange Carrier
PR Newswire - January 16, 2003 09:03

Voice Capability Allows Company to Bundle Complete Line of Communications Services

DENVER, Jan. 16 /PRNewswire-FirstCall/ -- USURF America, Inc. (Amex: UAX), the developer of Quick-Cell(TM), a family of Wi-Fi standard broadband fixed-wireless high-speed Internet access products, announced today that it has signed a definitive agreement to acquire 100% of DMJ Communications, Inc., a competitive local exchange carrier (CLEC) licensed in Colorado, for cash and USURF stock. A closing of the acquisition is scheduled for later this month and USURF management sees no impediment to the completion of the acquisition.

With the acquisition of DMJ, a small facilities-based CLEC that provides local and long-distance telephone service to approximately 100 customers throughout Colorado, USURF is now capable of providing end-to-end broadband services. USURF had been actively seeking to acquire a CLEC since last fall, as the MDU properties USURF currently has under contract for video and/or voice service have expressed high interest in having its communications provider being able to offer bundled communications services to their tenants.

USURF intends to focus the marketing efforts of its voice service on the MDU properties currently under contract and underserved areas in which it already markets its video and data services. The acquired voice customers average $40.00 per month in local and long distance charges.

"By acquiring DMJ, we have achieved a most important milestone: with DMJ's voice services, we now will have the ability to offer a complete array of communications products, that is, voice, video and data services, to our customers," said Ken Upcraft, executive vice president for USURF.
